<image:title>Health Insurance Portability and Accountability Act (HIPAA) - The Health Insurance Portability and Accountability Act (HIPAA)</image:title>
<image:caption>The Health Insurance Portability and Accountability Act of 1996, commonly known as HIPAA, is a series of regulatory standards that outline the lawful use and disclosure of protected health information (PHI). HIPAA compliance is regulated by the Department of Health and Human Services (HHS) and enforced by the Office for Civil Rights (OCR). What is Protected Health Information? Protected health information (PHI) is any demographic information that can be used to identify a patient or client of a HIPAA-beholden entity. Common examples of PHI include names, addresses, phone numbers, Social Security numbers, medical records, financial information, and full facial photos to name a few. PHI transmitted, stored, or accessed electronically also falls under HIPAA regulatory standards and is known as electronic protected health information, or ePHI. ePHI is regulated by the HIPAA Security Rule, which was an addendum to HIPAA regulation enacted to account for changes in medical technology.</image:caption>

<image:title>Health Insurance Portability and Accountability Act (HIPAA) - Who needs to be HIPAA compliant?</image:title>
<image:caption>HIPAA regulation identifies two types of organizations that must be HIPAA compliant. Covered Entities: A covered entity is defined by HIPAA regulation as any organization that collects, creates, or transmits PHI electronically. Health care organizations that are considered covered entities include health care providers, health care clearinghouses, and health insurance providers. Business Associates: A business associate is defined by HIPAA regulation as any organization that encounters PHI in any way over the course of work that it has been contracted to perform on behalf of a covered entity. There are many, many examples of business associates because of the wide scope of service providers that may handle, transmit, or process PHI. Common examples of business associates affected by HIPAA rules include: billing companies, practice management firms, third-party consultants, EHR platforms, MSPs, IT providers, faxing companies, shredding companies, physical storage providers, cloud storage providers, email hosting services, attorneys, accountants, and many more.</image:caption>

<image:title>Health Insurance Portability and Accountability Act (HIPAA) - What are the HIPAA Rules?</image:title>
<image:caption>HIPAA regulation is made up of a number of different HIPAA Rules. The HIPAA Rules were all passed in the 20+ years that have come and gone since HIPAA was first enacted in 1996. The HIPAA Rules that you should be aware of include: HIPAA Privacy Rule: The HIPAA Privacy Rule sets national standards for patients’ rights to PHI. The HIPAA Privacy Rule only applies to covered entities, not business associates. Some of the standards outlined by the HIPAA Privacy Rule include: patients’ rights to access PHI, health care providers’ rights to deny access to PHI, the contents of Use and Disclosure HIPAA release forms and Notices of Privacy Practices, and more. The regulatory standards must be documented in the organization’s HIPAA Policies and Procedures. All employees must be trained on these Policies and Procedures annually, with documented attestation. HIPAA Security Rule: The HIPAA Security Rule sets national standards for the secure maintenance, transmission, and handling of ePHI. The HIPAA Security Rule applies to both covered entities and business associates because of the potential sharing of ePHI. The Security Rule outlines standards for the integrity and safety of ePHI, including physical, administrative, and technical safeguards that must be in place in any health care organization. Specifics of the regulation must be documented in the organization’s HIPAA Policies and Procedures. Staff must be trained on these Policies and Procedures annually, with documented attestation. HIPAA Breach Notification Rule: The HIPAA Breach Notification Rule is a set of standards that covered entities and business associates must follow in the event of a data breach containing PHI or ePHI. The Rule lays out different requirements for breach reporting depending on the scope and size. Organizations are required to report all breaches, regardless of size to HHS OCR, but the specific protocols for reporting change depending on the type of breach. The specifics of the HIPAA Breach Notification Rule are outlined in the sections below. HIPAA Omnibus Rule: The HIPAA Omnibus Rule is an addendum to HIPAA regulation that was enacted in order to apply HIPAA to business associates, in addition to covered entities. The HIPAA Omnibus Rule mandates that business associates must be HIPAA compliant, and also outlines the rules surrounding Business Associate Agreements (BAAs). Business Associate Agreements are contracts that must be executed between a covered entity and business associate–or between two business associates–before ANY PHI or ePHI can be transferred or shared. The details regarding BAAs are outlined in more depth in the sections below.</image:caption>

<image:title>Health Insurance Portability and Accountability Act (HIPAA) - What are the HIPAA Penalties for a breach?</image:title>
<image:caption>Tier 1: A violation that the covered entity was unaware of and could not have realistically avoided, had a reasonable amount of care had been taken to abide by HIPAA Rules. Minimum fine of $100 per violation up to $50,000 Tier 2: A violation that the covered entity should have been aware of but could not have avoided even with a reasonable amount of care. (but falling short of willful neglect of HIPAA Rules). Minimum fine of $1,000 per violation up to $50,000 Tier 3: A violation suffered as a direct result of “willful neglect” of HIPAA Rules, in cases where an attempt has been made to correct the violation. Minimum fine of $10,000 per violation up to $50,000 Tier 4: A violation of HIPAA Rules constituting willful neglect, where no attempt has been made to correct the violation. <image:caption>114TH CONGRESS, 2D SESSION H. R. 5069 amended the Sarbanes-Oxley Act of 2002 to protect investors by expanding the mandated internal controls reports and disclosures to include cybersecurity systems and risks of publicly traded companies. The Sarbanes-Oxley (SOX) act of 2002 is a law passed by U.S Congress to protect investors from financial scams. The SOX framework outlines best security practices for avoiding fraudulent financial transactions through a system of internal checks. Recently, SOX has evolved into more than just a framework for ensuring financial record accuracy. It now includes cybersecurity components to ensure financial institutions address common cybersecurity risks that could impact financial activity. An example of such a cyber threat is phishing attacks. During these attacks, hackers commonly pose as CEOs and CFOs to convince staff to initiate fraudulent transactions. SOX compliance now also supports the implementation of security controls across resources and IT infrastructures housing financial data.</image:caption>

<image:title>Sarbanes-Oxley (SOX) - Is Complying with SOX Mandatory?</image:title>
<image:caption>SOX compliance is mandatory for all public companies, Because SOX shares common security controls with the NIST, SOX compliance can be supported with the following controls from the NIST Cybersecurity Framework (CSF): • Deploy risk assessments - Risk assessments are one of the best ways of discovering deficiencies in regulatory compliance, both internally and for each third-party vendor. • Protect critical assets - Assets housing sensitive information critical to business continuity require significant protection against cybercriminals. This process begins by identifying all critical assets and quantifying the business impact if they're compromised. • Establish a regular auditing schedule - To prove SOX compliance, two yearly audits are required - one by an external independent auditing body and another by the organization - to highlight internal controls and management's contributions to supporting continuous improvement in financial data protection. • Harmonize cybersecurity initiatives - To support rapid security posture improvements, governance is required to harmonize security efforts throughout the organization. Deep attack surface visibility is key to achieving this. • Ensure business continuity - Establish policies demonstrating business continuity in the event of a cyberattack. This can be achieved with an Incident Response Plan (IRP).</image:caption>

<image:title>Sarbanes-Oxley (SOX) - What are the penalties for not complying with SOX?</image:title>
<image:caption>The penalties for not complying with SOX include: Public stock exchange delisting Loss of Officers Liability Insurance (D&O) Removal of directors Management is also penalized, with the severity increasing when fraud is intentional. If a CEO of CFO intentionally certifies a periodic report that doesn't comply with SOX: They could be imprisoned for up to 10 years. They could be fined up to $1 million. If a CEO of CFO intentionally falsifies certification: They could be imprisoned for up to 20 years. They could be fined up to $5 million.</image:caption>

<image:title>General Data Protection Regulation (GDPR) - General Data Protection Regulation (GDPR)</image:title>
<image:caption>The European General Data Protection Regulation (EU-GDPR) is a security framework by the European Union designed to protect its citizens from personal data compromise. All businesses processing data linked to EU citizens, either manually or through automated mechanisms, must comply with the GDPR. Examples of data processing include: Website form submissions. Collecting cookie data from web visitors. Sending marketing emails. Storing IP addresses. Posting photos or personal details about an individual on a website. Shredding documents contained personal information. The GDPR outlines separate security guidelines for both data controllers and data processors to secure the entire lifecycle of user data.</image:caption>

<image:title>General Data Protection Regulation (GDPR) - Is Complying with GDPR Mandatory?</image:title>
<image:caption>Yes. The EU mandates GDPR compliance for financial services collecting or processing personal data from EU residents, regardless of the physical location of the business. For example, a business selling a SaaS solution to an international customer base - including Europe - would need to comply with the GDPR even if the business's headquarters are located in the United States. According to a PwC survey, 92% of U.S. companies categorize GDPR compliance as a top priority. GDPR compliance for third-party vendors is most efficiently tracked through GDPR-specific security questionnaires.</image:caption>

<image:caption>This reform is expected to have a significant impact on businesses utilizing social media platforms to collect marketing data. Prior to any data collection, individuals must knowingly offer consent for relinquishing their data. The consent requests must be clear and easily understood so that users are completely aware of the specific data being requested. These data collection requests must not exceed what is strictly necessary for the business's objectives at the time of collection. Individuals will also have the option of withdrawing their consent within a time limitation. Under the CPAA, individuals will have greater ownership of their personal data. As a result, organizations must inform individuals when they possess any personal data linked to them. COPPA required the Federal Trade Commission to issue and enforce regulations concerning children’s online privacy. The Commission’s original COPPA Rule became effective on April 21, 2000. The Commission published an amended Rule on January 17, 2013. The amended Rule took effect on July 1, 2013. <image:title>Texas Data Privacy and Security Act - Is Complying with TDPSA Mandatory?</image:title>
<image:caption>TDPSA applies to entities that meet the following criteria: Conduct business in Texas or generate products or services “consumed” by Texas residents. Consumed is a new word in this type of legislation, and it has not gone without notice, as it replaces the word “targeted” that most similar laws include. Process or engage in the sale of personal data. Do not identify as a small business as defined by the U.S. Small Business Administration (SBA), which varies by industry “usually stated in number of employees or average annual receipts,” the SBA outlines.</image:caption>

<image:caption>After the attorney general notifies a person in writing, no action will be brought against the violator if the violation has been cured. What differs is that the entity must also provide the attorney general with a written statement that they have: Cured the violation. Notified the consumer their privacy violation was addressed (if their contact information was made available). Made changes to internal policies, if necessary, to ensure the violation won’t be repeated. Furthermore, the cure period does not sunset, as is the case with other laws—businesses subject to the TDPSA will enjoy a 30-day cure period in perpetuity. If an entity does not remediate the violation, the attorney general can issue a $7,500 penalty for each violation. Finally, there is no private right of action, which means private citizens cannot bring action against those who violate the law.</image:caption>

In addition to civil penalties, the Attorney General can also seek injunctive relief, restitution, and/or disgorgement. Keep in mind, a violation of one consumer’s rights equates to one violation. <image:title>California Privacy Rights Act (CPRA) - California Privacy Rights Act (CPRA)</image:title>
<image:caption>The CPRA is a new consumer privacy law that protects individuals' data privacy rights. It was adopted via referendum by the state of California, which is a fancy way of saying, it was voted into effect by the residents of California after being added to the ballot by a citizen-initiated measure. It will go into effect on Jan 1, 2023. The CPRA builds on previous legislation, the California Consumer Privacy Act (CCPA), which was passed in 2018 and expands employers' obligations when it comes to collecting, storing, using and sharing personal data belonging to their employees. This new law defines different types of "personal information" and lays out the rights employees have when it comes to collection and use as well as correction and deletion of their data.</image:caption>
